In-House Counsel Job Opening in Portland, Oregon - Are you looking for a part-time project that will utilize your In-House expertise? You are an ideal candidate if you are an active member and in good standing with the Oregon bar, have at least four years of customer and vendor contract exposure, and experienced with contract negotiation with state governmental agencies. As In-House Counsel, you will focus on contractual agreements, technology licensing, vendor agreements, and RFP responses. Compensation for this part-time, 6 to 9-month contract opportunity is contingent on experience. In-House Counsel Responsibilities:
Experienced in negotiating state government contracts and understanding of state procurement process including appropriations and protest.
Review customer and vendor contracts, identify contractual language discrepancies and draft terms to minimize risk to the organization; draft technology licenses, NDAs;
Ability to issue spot, provide solutions to further business objectives of the organization and encapsulate agreed upon terms into a succinct legal document
Advise, negotiate, and draft complex and strategic agreements (domestic or international) including technology or professional services, research, software development, or other agreements as needed
Develop, review or revise standard contract templates, forms, reports, filings, leases and correspondence to be used by the organization
Review and document areas of risk and noncompliance and communicate issues to cross functional teams for informed decision making
Craft responses to RFPs to mitigate risk while moving business forward
Identify issues and facilitate organizational responses, when necessary
Provide interpretations, recommendations, and opinions regarding relevant legislation, regulations, or outside inquiries
Qualifications
A current state license to practice law; active member of Oregon (OR) bar, preferred
Minimum Doctor of Jurisprudence required
Minimum four years? in-house experience with contract review and negotiation, preferably with contract negotiation experience with state governmental agencies
Experienced in Microsoft Word, PowerPoint and Excel
Superior attention to detail
Proven ability to analyze complex data
Ability to inquire beyond the obvious in order to learn and provide support
Strong presentation, verbal and written communication skills, including the ability to communicate concisely to clients and outside parties, to integrate legal advice and business knowledge, and to provide balanced and effective advice regarding risks and benefits
Strong understanding of contract, privacy and intellectual property law
Strong working knowledge of Microsoft Office programs and ability to quickly learn new systems
Ability to perform electronic legal research to support opinions
Ability to work independently as well as a contributing team members with few ego needs
