REPORTING RELATIONSHIP: DCO Corporate Paralegal Supervisor
OVERVIEW: Delaware Corporation Organizers, Inc. (?DCO?), a wholly owned subsidiary of Morris, Nichols, Arsht & Tunnell LLP (?MNAT?), serves as the in-house registered agent company for MNAT and its clients and for independent DCO clients. DCO currently seeks an experienced administrator to assist in the management of corporate filings, document requests, registered agent billings, and other necessary functions as may be required to run this independent registered agent business.
DUTIES AND RESPONSIBILITIES:
Manage DCO registered agent billing tasks, including processing all annual invoices
Review/monitor collection process from DCO clients; send follow-up requests for payment and any Delaware Division of Corporations Franchise Tax notices
Ensure proper filing and accounting of DCO billing status; work with MNAT finance team to ensure proper submittal and reconciliation of DCO fees and invoices
Work closely with and at the direction of the DCO Corporate Paralegal Supervisor to handle corporate filings and document requests to the Delaware Division of Corporations
Maintain state-required contact information for DCO entities
Monitor Secretary of State database for changes in DCO entities performed by other agents
Prepare Secretary of State merge mailings for purposes of sending franchise tax notices to DCO entities
Assist in identification of entities to whom Agent Resignation Letters must be sent
Other duties and responsibilities, as necessary, for the efficient functioning of DCO
QUALIFICATIONS AND SKILLS:
A minimum of 3 years? experience in a Delaware registered agent company or comparable experience
Proficient with the Delaware Corporation Information System (?DCIS?)
Highly organized with great attention to detail
Ability to handle high-volume work load under strict deadlines
Paralegal certification and/or law firm experience preferred
Ability to work regular 9 a.m. to 5 p.m. schedule, with overtime as needed
