Regency Pacific Management, LLC is recruiting for a Corporate Paralegal, one who possesses a high level of professionalism and interpersonal skills.
Job Responsibilities:
Creating organizational documents, including articles of incorporation or dissolution.
Obtains certificates of good of existence.
Prepares minutes of meetings of the board of directors and stockholders, or written consents in lieu of meeting.
Assembles and maintains corporate minute book (hard copy and electronically).
Prepares and files annual reports, notices of changes of officers, directors and related corporate information in jurisdiction of incorporation.
Prepares and review complex transaction binders.
Coordinates various aspects of closing, including assembly and preparation of documents for signature, closing arrangements and distribution of closing materials.
Organize and maintain contracts and legal files (both hard and digital).
Track contract renewals, legal filings and corporate requirements.
Legal research within governmental and research databases
Coordinate and track case management with outside counsel
Provide support and assistance to general counsel.
Use strong organizational skills, be extremely detail-oriented and work well under tight tie constraints. Organize and maintain legal files. (originals and electronically)
Maintain calendar of license and permit expiration dates
Prepare and file applications for licensure and permits
Assist with Federal/State legal/regulatory compliance
Obtain good standing certificates from Secretary of State.
Prepare and file DBAs, certificates of trade names, and certificate of assumed names with the appropriate state office.
Assist preparation of documentation required in connection with closing real estate transactions.
Conduct pre-closing diligence, obtain title information. Municipal lien searches, pay-off estoppels, maintenance estoppels, surveys as required.
Work closely with all parties to the transaction to ensure rapid closings.
Form businesses, apply for IRS Federal Identification numbers, draft all relevant documents and prepare corporate books for entities.
Ensure compliance with local, state and federal regulations for domestic and international corporations.
Assist health care facilities to respond to medical record request in accordance with HIPPA and state law requirements.
Ensure all potential claims are promptly referred to applicable insurer; coordinate responses with assigned outside counsel.

Job Requirements:
Minimum of 5 years as a corporate paralegal. (healthcare corporate paralegal preferred)
Must possess a high level of professionalism and interpersonal skills to be able to work well with employees at all levels within the organization and maintain all information in the strictest of confidence. Required to use tact and diplomacy when dealing with others.
Must have ability to read, write and communicate fluent English; ability to compose documents in the appropriate business style using correct grammar and spelling; ability to communicate clearly using proper grammar and diction over the telephone.
Must possess attention to detail, ability to balance multiple projects and strong time management skills.
Must have ability to reason and apply common-sense understanding to situations encountered.
Ability to process routine daily functions while being able to resolve sensitive issues and complex assignments utilizing above average critical thinking skills.
Education
Paralegal Certificate in a program approved by the American Bar Association required .
Bachelor's degree preferred .
