We are currently recruiting for a CONTRACTS ASSISTANT to be based out of our Kent, WA corporate headquarters. SUMMARY: This position will perform contract administration activities throughout various pre-award, award and post-award contract activity matters, inclusive of managing the contracts database and all associated files, reviewing, analysis, drafting, as well as on-going contracts maintenance, associated compliance matters, and assisting department client base as needed. Other duties include providing daily support on corporate intellectual property and related legal matters. Using excellent customer service skills establish and maintain effective working relationships with other employees, customer contacts, outside vendors, and all members of the general public. Must be able to multi-task, effectively manage time and set priorities, and work under firm and quick-turn-around deadlines. Being proactive and organized, having and using excellent judgment, and maintaining strict confidentiality are essential to success. ESSENTIAL DUTIES AND RESPONSIBILITIES (Other duties may be assigned) ? Contract Administration - Performs contracts administration functions including creating and maintaining electronic and hardcopy contract document files/databases (including entering key contract terms into a contract management database), ensuring contract compliance issues, tracking and monitoring contract details through to completion (inclusive of insurance certificates, bond forms, subcontracting plans, notices, prevailing wage documentation, renewals, etc.), distributing contracts to appropriate internal client groups and customers, processing change orders, completed contracts, and resolving miscellaneous contract issues. - Assist Contracts Manager in the preparation of bids and proposals, the formation and negotiation of contracts, the administration of contracts in accordance with company policies and the closing or termination of contracts. - Although this position will focus primarily on UtilX standard proposals, the Contracts Assistant will also review and analyze customer-provided contracts, requests for bids/proposals, prequalification packages and other related documentation and correspondence and work closely with the Contracts Manager and other internal departments in the preparation and assembly of responses to proposals. - Review, research (including due diligence research) and summarize applicable local, state and/or federal laws and regulations; may include reviewing company?s compliance with laws and regulations and verifying business and contractor license requirements. - Prepare correspondence on routine contract matters. ? Other Administration & Ongoing Support - Maintain and track company patent and trademark portfolio; may assist Contracts Manager and/or work with outside counsel in the trademark and patent renewal and maintenance process, which may include coordinating specimens of use. - Maintain files and records (both electronic and hardcopy) associated with contracts, leases, patents, trademarks, etc, ensuring required documentation is retained; this includes maintaining all associated legal department records in the document control room in a complete and organized manner. - Perform administrative tasks specific to contract management/legal department including word processing, filing, copying, and maintaining contract management database. - Research and respond to inquiries and requests for information. - Assist updating standard contracts and agreements. - Prepare various correspondence, memos and reports as assigned. - Provide assistance to Contracts Manager on projects as needed. QUALITY RESPONSIBILITIES: To insure that the Contracts Department activities are in compliance with Corporate quality standards. QUALIFICATION REQUIREMENTS: ? Bachelor degree in Business Administration or Legal Studies (Paralegal certificate or similar contract administration certification would be a plus) ? Experience in intellectual property management, including familiarity with patent, copyright, trademark and trade secret laws, in a law firm and/or corporate environment would be a plus. ? Minimum 1 year of contract administration experience, with solid experience throughout pre-award and post-award phases of the contracts life-cycle for either competitive bids or negotiated contracts. ? Construction services company, utility contractor, and/or proprietary services contractor background and experience preferred. ? Self starter and team player, yet with the ability to work independently with minimal supervision and complete time sensitive, confidential tasks in a fast-paced environment is a must. ? Excellent written and oral communication and composition skills, including spelling, grammar, proofreading and punctuation; must be able to effectively communicate on multiple levels with internal and external clients and customers. ? Expert-level skills using Microsoft Office (Word, Excel, PowerPoint, Outlook and Access); familiarity with web-based productivity tools (e.g., intranets and portals), demonstrated ability to effectively conduct factual and regulatory or other legal research, and skilled in database management. ? Detail oriented with outstanding organizational, time management, analytical and drafting skills; work product must be consistently clear, concise, and professional. ? Strong results orientation and customer focus. WORKING ENVIRONMENT: Although conditions may vary depending on assignment, the work environment is primarily a normal office setting.
